Terms of Service

The engagement model, in five plain steps.

These terms describe how Cobblemark works with a client — starting with the sixty-minute scoping session, ending in a month-to-month engagement that can be cancelled any time. Ad spend passes through your own ad accounts at cost. There is no long-term lock-in for Main-Street engagements.

Section 01 / Acceptance

By using cobblemark.com, you accept these terms.

These terms apply to everyone who visits cobblemark.com and to every person who signs a written engagement plan with Cobblemark. Using the site — or submitting the /contact form, or joining the newsletter — means you have read these terms and agree to them. If you do not agree, please do not use the site.

The terms that govern a paid engagement come from the signed written plan (Section 03b) and supersede any conflicting language here. Where these terms and a signed plan agree, both control.

Section 02 / Who we are

Cobblemark is a marketing agency.

Cobblemark is a solo marketing practice — one senior practitioner serving Main-Street operators in the United States. It is not a partnership, a joint venture, a franchise, or an employment agency. Nothing on this site creates an employer–employee relationship between Cobblemark and a visitor.

The practitioner operates as an independent contractor. Nothing on this site should be read as a warranty of marketing outcomes — Section 08 explains the ground rules around results and liability.

Section 03 / The engagement model

Five steps, in this order.

Every Cobblemark engagement runs through the same five steps. The first three decide whether we work together; the last two describe how the ongoing relationship runs after a written plan is signed.

03a · The Scoping Session
Step One

The Scoping Session.

The first step is a sixty-minute scoping call. It is free. It ends in a written brief — whether or not Cobblemark is the right shop for your engagement. If we are not the right shop, the brief is the deliverable and you keep it.

  • Sixty minutes, video or voice, recorded only with your consent.
  • Ends in a written brief: scope, deliverables, timeline, proposed monthly fee.
  • No obligation to proceed — the brief is yours to take elsewhere.
03b · The Written Plan
Step Two

The Written Plan.

The deliverable from the scoping session is a written plan. It describes the scope, the deliverables, the timeline, and the proposed monthly fee. A signed plan converts the scoping conversation into a binding engagement and supersedes any conflicting language on this site.

  • Scope: which channels (SEO, paid, social, email) and what each does.
  • Deliverables: cadence — posts, blogs, bids, emails — by tier.
  • Timeline: 90-day opening, then month-to-month.
  • Fee: monthly management retainer, separate from ad spend.
03c · Monthly Right-Sized Packages
Step Three

Monthly right-sized packages.

Recurring services are billed as one of three monthly tiers — Starter, Growth, or Main-Street Pro — as listed on /pricing at the time of signing. The scope and deliverables are those listed on /pricing at signing. A tier can move up or down month-to-month with written notice.

  • Starter — $1,500 / month.
  • Growth — $2,500 / month.
  • Main-Street Pro — $3,500 / month.
  • Tier changes are honored month-to-month with written notice — no penalty.
03d · Ad-Spend Pass-Through
Step Four

Ad spend — pass-through, never marked up.

Platform spend on Meta, Google, or any other ad network is invoiced separately from the monthly management fee and billed at cost — Cobblemark does not mark up media. Your ad accounts, audiences, pixels, and event history stay yours. You can audit any line item against the platform’s own invoice on any day.

  • Spend billed direct from your own Meta and Google accounts.
  • Zero markup from Cobblemark on the media line.
  • Accounts, audiences, pixels, and conversions stay with the client.
03e · No Long-Term Lock-In
Step Five

No long-term lock-in for Main-Street packages.

Every Cobblemark engagement begins with a 90-day opening — long enough to compound the plan, short enough to keep the room honest — and continues month-to-month thereafter. Cancel any time with 30 days’ written notice. There is no termination fee, no auto-renew, and no buried clause.

  • 90-day opening, then month-to-month.
  • Cancel any time with 30 days’ written notice — no termination fee.
  • Ad accounts, audiences, pixels, and email lists stay with the client.

Section 04 / Client responsibilities

What the client brings.

Timely access

Provide timely access to ad accounts, Google Business Profile, social profiles, the website CMS, and the analytics property. Delays on access delay the work.

Brand assets

Provide brand assets — logo, fonts, brand voice notes, owned photography — that the practitioner uses across drafts. Reuse of stock assets is fine when approved.

Approvals

Approve drafts within the cadence agreed in the written plan. Late approvals are the most common cause of slipped timelines.

Lawful content only

Do not provide content that infringes intellectual property, violates privacy or advertising law, or promotes anything unlawful.

Section 05 / Fees, payment, late payment

Money facts.

Management retainers are invoiced monthly in advance. Ad spend is invoiced separately and at cost — see Section 03d. Invoices are due net fifteen (15) days from the invoice date. The first invoice is sent on signing the written plan.

Invoices unpaid after thirty (30) days accrue a late fee of 1.5% per month and may suspend active work until the balance is settled. Accounts that remain unpaid ninety (90) days after the invoice date may be referred to collections; the client remains responsible for any reasonable collection costs.

Cadence
  • Monthly in advance
  • Net-15 terms
  • 1.5% / month late fee after 30d

Section 06 / Confidentiality

Each side keeps the other’s secrets.

Each side will keep the other side’s non-public information — proprietary strategies, financial data, customer lists, drafts and creative under review — confidential during the engagement and for two (2) years after it ends. The obligation does not apply to information that is already public, independently developed, required by law, or already known without an obligation of confidence.

Cobblemark will not share client data with third parties outside the vendors listed in the Privacy Policy (Section 02). The client agrees not to share the practitioner’s playbook IP with a competing agency during and for two (2) years after the engagement.

Mutual

2 years after engagement

Both directions, both sides

Section 07 / Intellectual property

Who owns what.

The client owns their brand assets — logo, fonts, photography, voice — and their data — ad accounts, audiences, pixels, conversion history, email lists, and any first-party data the engagement generates.

Cobblemark retains its playbook IP and reusable templates. Deliverables produced under a signed written plan — drafts, copy, designs, builds, reports — are assigned to the client on payment of the invoice for the month in which they were produced.

Pre-existing IP owned by either side stays with that side. A pre-existing template that Cobblemark uses to draft a deliverable is not assigned — the deliverable is assigned, not the template underneath it.

Plain rule

Your accounts and lists stay yours.

Deliverables are assigned on payment. Playbook IP & templates stay with Cobblemark.

Section 08 / Disclaimers & limitation of liability

Plain ground rules.

Marketing results are not guaranteed. Search rankings shift, ad-platform policies change, and audiences respond to markets the practitioner does not control. Cobblemark commits to senior hands on the work, a written plan, and a monthly dashboard anchored to revenue — not to a specific return on ad spend.

To the maximum extent permitted by law, the aggregate liability of either side under or in connection with an engagement is capped at the fees the client paid Cobblemark in the twelve (12) months immediately before the event giving rise to the claim. Neither side is liable for consequential, incidental, indirect, special, or punitive damages — including lost profits, lost revenue, or lost data — even if advised of the possibility.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

Section 09 / Termination

How either side ends the engagement.

Month-to-month

After the 90-day opening, either side may terminate for convenience with 30 days’ written notice. No termination fee.

Material breach

Either side may terminate immediately for a material breach that goes uncured fourteen (14) days after written notice.

Portability on exit

On termination, ad accounts, audiences, pixels, and email lists stay with the client and are portable to another agency or in-house operator.

Final invoice

A final invoice is issued for work delivered through the termination date and is payable under the same net-15 cadence in Section 05.

Section 10 / Governing law & venue

Where disputes are resolved.

These terms and any engagement signed under them are governed by the laws of the State of [Founder-State], USA, without regard to its conflict-of-laws rules. The State and Federal courts located in [Founder-State] have exclusive venue over any dispute arising out of or relating to an engagement, except that either side may seek injunctive relief in any competent jurisdiction.

The [Founder-State] placeholder is intentional — the founder will tighten this clause to a specific US state before the first paid engagement ships. Until that happens, the site is a marketing surface only and no paid engagement exists under these terms.

Venue

State of [Founder-State], USA

To be filled before first engagement

Section 11 / Changes to these terms

How updates ship.

Material changes to these terms — a new fee structure, a new venue, a new obligation on the client — are posted on this page with a refreshed “Last updated” date at the top. Continued use of cobblemark.com after a material change ships constitutes acceptance of the updated terms.

Existing paid engagements are bound by the version of these terms in effect at the time the engagement was signed, plus any subsequent material change the client affirmatively agrees to in writing. Quiet changes do not retroactively bind an existing engagement.
